TERMS AND CONDITIONS FOR CYBERNET ENTERTAINMENT AND RELATED ENTITIES PAYMENT: Affiliates will receive payments based on a pay per share or a revenue share. Affiliates will only receive payment on sums received less any processing fees. Payments are in US Dollars Affiliate is not entitled to any reimbursements, overhead, fees, costs, damages, charges, or other expenses related to their own operation. AGE REQUIREMENT: To enroll and participate as an Affiliate in any program, Affiliate must be at least eighteen (18) years of age and/or over the age of majority if residing and/or conducting business in states, provinces or countries where the age of majority is greater than eighteen (18) years of age. If Affiliate is a corporation or any other legal entity, all of its shareholders, partners, officers and directors must meet these age requirements. If at any time, it is discovered that this age requirement is not met, the Affiliate's account shall be terminated and all monies due will be forfeited as partial damages for violation(s) of these Terms. OWNERSHIP: To enroll and participate as an Affiliate in any program, Affiliate must be the owner of the website, or the individual vested with the authority to enter into contracts on behalf of the entity that owns the rights to the Affiliate Website. RELATIONSHIP: This agreement does not create any employment relationship, joint venture, partnership, agency, or business entity. TERMINATION: This agreement may be terminated by Cybernet Entertainment and Related Entities (or “Cybernet”) at any time and with no notice period. No reason for concluding the affiliate relationship is required. Termination can be communicated in any successful way to communicate the termination. If termination occurs, the Affiliate will be provided all pending payments within 30 days. If fraud or other unlawful acts (as described below) have occurred, Cybernet reserves the rights to withhold funds in anticipation of damages, expenses, fees, and costs. Any affiliate who is inactive, dormant, fails to respond to e-mail communications, or fails to create any new sales for 12 months will cease to receive revenue and will be terminated. AFFILIATE ACTIVITIES: Affiliates should maintain best practices regarding e-mails and solicitations. Images: Affiliate will only access and utilize authorized Cybernet images, videos, content, and materials. E-mail Rules: E-mails must follow all local and Federal laws (e.g., Can SPAM) in effect at the time. The following practices are not allowed without prior written approval: Unsolicited spam Mass mailings without double opt-in Uploading Cybernet images, videos, content to any “tube” site. Placing additional watermarks on images, videos, or content; Use of Cybernet images, videos, content to promote any site or product not owned by Cybernet. The following practices are allowed: Use of Cybernet images to promote the website, sales, and products. Use only banners designed or approved by Cybernet to promote Cybernet sites. AVS Site Rules: Affiliates may promote Cybernet sites on AVS sites on condition that: Only the content provided in the webmasters area be used Cybernet content only be used to promote Cybernet sites URLs not be removed from the images The AVS be built with the specific purpose of promoting traffic to Cybernet sites Banners and links to Cybernet sites be clearly posted on the pages where the content is displayed No other sites be promoted on the same pages where Cybernet content is posted The URLs of all the AVSs built using Cybernet content be e-mailed to affiliates together with a login FRAUD OR OTHER UNLAWFUL ACTS: Affiliate will not employee fraudulent or illegal means of generating sales or traffic. Affiliate will not commit any form of credit card fraud nor other deception that may unjustly enrich Affiliate. Any dishonesty or deceit will result in immediate termination as well as any and all other remedies available to Cybernet including criminal charges or other claims against Affiliate. INTELLECTUAL PROPERTY: In consideration for participating in an Affiliate Program, Affiliate agrees and represents that you do not infringe nor misappropriate on any intellectual property rights of others. You agree to abide by all intellectual property rights, copyrights, trademark rights, rights of publicity, patent rights, personal property rights, informational privacy rights, privacy rights, and other protections. Affiliate agrees to neither purchase nor operate similar sounding websites to Cybernet sites. Affiliate agrees to refrain from imitating or mimicking Cybernet sites. CHANGES AND UPDATES: From time to time, Cybernet may make changes to their sites, business, or technology. Affiliates will be required to effectively comply and adjust to these changes immediately. DISPUTES: Any disputes regarding this agreement shall be resolved through arbitration with San Francisco JAMS under the commercial dispute arbitration rules. The prevailing party shall be entitled to fees and costs.
